A mutual agreement: everything you disclose during the audit stays confidential with us, and our methodology, frameworks and report formats stay confidential with you.
Mutual Non-Disclosure Agreement — Future Build Solutions
Version 2026-10-06-fbs
This agreement is between Future Build Solutions Pty Ltd, trading as Future Build Solutions ("FBS", "we", "us"), and the building, development, civil or trade company engaging us for a forensic operational audit, together with the director signing on its behalf ("you", the "Client"). It applies to everything disclosed from your first enquiry through to the end of any engagement.
- 1. Confidential Information. For the Client: financial statements, job costing, estimates, tenders, contracts, variations, progress claims, retentions, supplier and trade rates, staff, customer and pipeline information, systems and data, and all audit answers, evidence and results. For FBS: the audit methodology, ten-pillar framework, scoring model, question sets, report formats, software and pricing. It excludes information that is public (other than through breach), already lawfully held without restriction, or independently developed.
- 2. Mutual undertaking. Each party will keep the other's Confidential Information strictly confidential, use it only to assess suitability for and deliver the audit and related advisory services (the "Permitted Purpose"), and protect it with at least reasonable industry-standard care.
- 3. Permitted disclosure. Disclosure is allowed only to employees, contractors and professional advisers who need it for the Permitted Purpose and are bound by equivalent confidentiality, or where required by law (with prompt notice to the other party where lawful).
- 4. No sale or brokering. FBS will never sell your information or disclose it to competitors, buyers, lenders, brokers or partners. Referral partners receive only status information needed to calculate commission — never your financials or audit results.
- 5. Contributors. Team members you invite to answer pillars see only the pillars assigned to them. You are responsible for inviting only people you authorise.
- 6. Intellectual property. The Future Build Solutions audit methodology, ten-pillar framework, scoring model, report formats, software, brand and processes are the intellectual property of CBD Investment Group Pty Ltd and are licensed to Future Build Solutions operators under franchise agreement. No right, title or licence in that intellectual property passes to you except the limited right to use your own report for your own business. You must not copy, adapt, resell or reverse-engineer any of it. Nothing in this agreement transfers any of that intellectual property to you. You own your business data and may use your report internally.
- 7. Security. Information is encrypted in transit and at rest, access is role-restricted and logged, and evidence files are stored privately.
- 8. Return and deletion. On written request either party will return or delete the other's Confidential Information, except for records required by law or held in routine backups, which stay protected by this agreement.
- 9. Duration. These obligations continue for five years after the end of the engagement, and indefinitely for trade secrets and FBS methodology.
- 10. Remedies. Each party acknowledges that damages may be inadequate for a breach and that injunctive relief may be sought, in addition to any other remedy.
- 11. Governing law. This agreement is governed by the laws of New South Wales, Australia.
Future Build Solutions — How We Protect Your Information (Non-Disclosure Procedures)
Version 2026-10-06-fbs
These are the practical steps we follow every day to keep your Confidential Information safe.
- 1. Need-to-know access. Only the team members working on your valuation or engagement can access your records. Access is role-based and reviewed quarterly; it is removed immediately when someone leaves or changes role.
- 2. Signed confidentiality. Every FBS employee, contractor and adviser signs a confidentiality deed before accessing any client information.
- 3. Partner separation. Referral partners see only your name, business name, contact details and progress stage. They never see your financials, answers, scores or valuation figures unless you authorise it in writing.
- 4. Secure systems. Your information is stored in secure managed cloud infrastructure with encryption in transit and at rest, database row-level security, and multi-factor authentication for staff accounts.
- 5. No sharing with buyers or brokers. We never introduce your business to buyers, investors, lenders or brokers, or share any details with them, without your express written instruction.
- 6. Careful communication. We send results only to the email address you provide. We do not discuss your business with anyone else, including people who contact us claiming to act for you, until we have verified their authority with you.
- 7. No public use. We never name your business or use your results in marketing, case studies or testimonials without your separate written consent.
- 8. Audit trail. Access to client records is logged. Your acceptance of this agreement (name, date, time, version and device details) is recorded for your protection and ours.
- 9. Breach response. Any suspected breach is escalated to a director within 24 hours, contained, investigated and — where required — notified to you and the OAIC under the Notifiable Data Breaches scheme.
- 10. Your rights. You can request a copy of what we hold, a correction, or deletion at any time: privacy@futurebuildsolutions.com. Complaints are acknowledged within 5 business days; if unresolved, you may contact the OAIC (oaic.gov.au, 1300 363 992).
- 11. Secure disposal. When information is no longer required, it is securely deleted from our systems and those of our service providers.
